The changes to the articles of association apply to adjustments in the description of how the management fee in fund of funds and supply funds are charged, in order to better reflect current practice in line with VFF's recommended articles of association. Changes have also been made to the name of share class. The changes to the articles of association apply to the following mutual funds:
- Verdipapirfondet Storebrand Fremtid 10
- Verdipapirfondet Storebrand Fremtid 30
- Verdipapirfondet Storebrand Fremtid 50 (share class S also changes name to B)
- Verdipapirfondet Storebrand Fremtid 80
- Verdipapirfondet Storebrand Fremtid 100
- Verdipapirfondet Storebrand Renewable Energy
For the share classes Storebrand Fremtid 50 S, Storebrand Fremtid 100 S and Storebrand Renewabel Energy S, the designation will be changed to share class B so that it will be similar to other B share classes in the group.
The Norwegian Financial Supervisory Authority has approved Storebrand's application for exemption from the requirement to hold a new shareholder meeting. The Finanstilsynet can in special cases grant a dispensation from the requirement to consider an amendment to the articles of association in a shareholder meeting, see vpfl. Section 4-17 6th paragraph. It is clear from the drafting of the law that exceptions should be made if it is obvious in a specific case that it is not appropriate to hold a shareholder meeting, see Prop. 149 L (2010-2011). The Norwegian Financial Supervisory Authority has granted exemption from the requirement.
